Roadside Assistance Terms and Conditions
First: Contractual Relationship
These rules and conditions constitute a formal agreement (Contract) between Advanced Innovation Company, the owner of the “Morni” trademark (Morni), and roadside assistance service providers via the Morni application (Service Providers). These terms govern the use of the Morni application by Service Providers, which is an “electronic platform connecting service providers with customers (app users), allowing app users to contact service providers to request services as enabled by the application.” The application’s services include vehicle and machinery transportation, breakdown assistance, tire repairs, and other services considered part of roadside assistance (Services).
Any use by you of the services provided by the Morni app constitutes your full acceptance of this contract and its terms. Accordingly, you should not use the app if you do not agree to any of the provisions in this contract.
Morni reserves the right to modify or change these terms and conditions without prior notice. It is your sole responsibility, as a service provider, to periodically review the terms of use to stay updated on any changes via the electronic link (www.morni.com). You are also encouraged to review our Privacy Policy to understand how Morni uses information obtained from service providers, customers, or the application.
Certain supplemental terms may apply to specific services, such as policies for a particular event, activity, or promotional campaign. These supplemental terms will be disclosed to you and are added to these service provider terms for the relevant services and are considered part of them. Supplemental terms prevail over these terms in case of conflict regarding the services provided.
Morni collects personal data and information from service providers and customers to use in connection with providing and improving services, in accordance with Morni’s Privacy Policy, available at (www.morni.com). Morni may provide necessary information (including your contact or vehicle information) to claims settlement companies, insurance companies, or relevant governmental authorities in the event of a complaint, dispute, or incident between you and an external service provider, if such information is necessary to resolve the matter. Your use of the service constitutes acknowledgment of Morni’s right to use the information as described above.
Second: Scope of License
Morni grants you a non-exclusive, non-transferable, non-sublicensable, non-assignable license to provide the services available through the app to customers, solely for the purpose of serving app users (not for any commercial purposes, including but not limited to) in accordance with this contract. Therefore, you must:
Not make the services available for rent, lease, assignment, resale, distribution, or sublicensing to any third party.
Not modify, extract, translate, summarize, create derivative works, reverse engineer, or attempt to access the source code or internal design of the Morni app or any service content (text, media files, data, etc.) provided by Morni or third-party service providers.
Not remove or alter any copyright or other official notices included in the services.
Not intentionally transfer or distribute the services or allow them to be used otherwise than specified.
Not claim ownership of the services or allow access to anyone other than yourself.
Not share your username, password, or any access credentials to Morni services.
As part of Morni’s shipping policy, users and drivers are prohibited from purchasing, delivering, sending, receiving, or handling certain categories of materials and products. You must allow Morni to inspect any shipment to ensure compliance with these rules. Examples include alcohol, prohibited animals and species, pornographic materials, copyright-protected content, counterfeit goods, hacking devices, illegal drugs and equipment, gambling-related items, human organs, hazardous materials, firearms, fireworks, and other restricted or illegal items.
Morni reserves the right to enforce any measures against violations of the shipping policy, including suspending access to Morni services and applications.
Third: Representations and Warranties
You acknowledge and warrant that:
You comply with all applicable laws and regulations in the Kingdom of Saudi Arabia.
You have never been barred from using Morni services.
You are fully competent and legally capable to contract without violating any law or agreement.
You provide accurate information to Morni and update it regularly.
You comply with any terms, conditions, or notices sent by Morni regarding the provision of services.
You adhere to product safety standards during transportation to ensure delivery in good condition.
You will not create sublicenses or otherwise exploit Morni services commercially, except as permitted under this contract.
You will only use the information, content, or data obtained through Morni services for app-related purposes.
You will not interfere with the proper operation of the app, attempt to damage the service, copy or distribute the app or its content without written permission.
You maintain the security and confidentiality of your account credentials.
You provide evidence of identity as required by Morni.
You and drivers use only authorized internet or data devices.
Morni may refuse your use of the app or services at its discretion.
You comply with safety regulations and insurance coverage for vehicles used in service provision.
You establish a direct legal relationship with app users and acknowledge that Morni is not responsible for any actions or omissions of users toward you, the vehicle, or drivers. You assume full responsibility for reasonable measures related to third parties interacting with your drivers.
You are responsible for any acts or omissions by your drivers toward users and Morni, ensuring compliance with Morni service standards and all applicable laws.
Morni owns all rights (including intellectual property) to the device, app, driver app, and data.
Morni grants you a limited, non-exclusive, revocable license to use the driver app and device solely to provide roadside assistance services.
You and drivers maintain confidentiality and security of driver identifiers, notifying Morni immediately of any misuse or security breach.
You and drivers will not sublicense, sell, transfer, or exploit the service or device beyond permitted uses.
The driver app and service may be intermittently unavailable, and Morni does not guarantee availability.
You and drivers will cooperate with Morni in communications and refrain from negative public statements about Morni.
Morni may request customer feedback on service and driver performance, which may be published on the app or website.
Morni may disclose relevant data to customers or authorities in case of complaints or disputes, within legal limits.
Fourth: Declarations
You and the driver acknowledge and declare that throughout the contract term:
You comply with all necessary government permits, licenses, and authorizations for operating delivery, transportation, and roadside assistance services.
The driver holds a valid license and possesses appropriate skills to perform transportation services.
You maintain valid insurance covering vehicle operation, personal injury, liability, and commercial risks.
You maintain vehicles in clean, operational, and safe condition according to industry standards.
Morni may notify you of proposed changes to the contract; if you do not object within seven days, you accept the changes.
Fifth: Intellectual Property
All intellectual property rights for these services and related materials (including content provided by service providers, drivers, or customers) belong to Morni. You must not reproduce or permit anyone to use these services or trademarks.
Sixth: Prices
Service prices shown in the app may vary depending on location, time of request, and service availability. Fixed prices exist for general roadside assistance, while vehicle transport pricing is calculated based on type, distance, and duration of transport.
Seventh: Payment
By providing services through the app, you agree to fees charged for app use and service provision, including applicable taxes. Fees are final and non-refundable unless Morni specifies otherwise. Payment is due immediately, typically via bank transfer. Morni may adjust fees, provide promotions, or require compliance with pricing for promotional offers. You must adhere to accurate fare calculation and report any misuse or tampering, subject to penalties and fines. Morni is authorized to collect service fees and may reimburse service providers if customers fail to pay.
Eighth: Disclaimer
Morni is not responsible for damages, losses, or liabilities arising from customer non-payment, app use, service errors, or reliance on app materials. Service providers alone are responsible for delivering the service. Providers must indemnify and defend Morni against any claims arising from service provision. Morni acts only as a mediator, not as an employer or agent. Liability limitations apply to Morni and its staff, contractors, and licensors.
Ninth: Dealing with Third Parties
Links to external websites may be provided for messaging, purchases, or promotions. These links are outside Morni’s control, and Morni is not responsible for content, privacy practices, or risks associated with these external sites.
Tenth: Term and Termination
Morni may terminate the contract immediately if you violate terms or misuse the app or service. Morni may stop offering your services or end the contract at any time without justification. You acknowledge and accept that no compensation is due in such cases.
Eleventh: Severability
If any provision is invalid or unenforceable, the remainder of the contract remains in effect. Invalid or unreasonable provisions will be replaced with terms that reflect the parties’ intent within reasonable limits.
